PRIVACY POLICY

1. Data Controller
Noetik Governance Ltd. ("we", "us") is the publisher of the PREEXEC™ Software. For personal data processed through the Software on the Licensee's infrastructure, the Licensee is the data controller. Noetik Governance Ltd. does not act as a data processor for such data.
2. What Data We Process
On-Premise Software: PREEXEC™ operates entirely on the Licensee's infrastructure. We do not collect, receive, transmit, or have access to:
- Text inputs evaluated by the scoring engine
- Scoring results, verdicts, or ClarityScore values
- Audit Chain records
- User accounts, sessions, or credentials
- Model API calls or responses
Licence Activation: When a Licence Key is activated, the Software validates the key locally. No data is sent to Noetik servers.
Website (if applicable): If you visit noetik.uk or preexec.tech, we may process:
- Server access logs (IP address, browser type, timestamp) — Lawful basis: Legitimate interest (security)
- Contact form submissions (name, email, message) — Lawful basis: Consent
3. Third-Party AI Providers
When a Licensee configures an AI model provider (Anthropic, OpenAI, etc.), API calls are made directly from the Licensee's infrastructure to the provider. Noetik has no involvement in, access to, or liability for these communications. The Licensee is responsible for its own agreements with AI providers.
4. Your Rights (UK GDPR / EU GDPR)
If we process your personal data (e.g., via website contact), you have the right to:
- Access your data (Art. 15)
- Rectify inaccurate data (Art. 16)
- Erase your data (Art. 17)
- Restrict processing (Art. 18)
- Data portability (Art. 20)
- Object to processing (Art. 21)
- Lodge a complaint with the ICO (UK) or relevant supervisory authority (EU)

5. Data Retention
- Website logs: 90 days
- Contact form data: Until request is resolved, then deleted
- On-premise Software data: Entirely under Licensee's control
6. Cookies and Sessions
The PREEXEC™ Dashboard uses session-based authentication stored in the browser's memory (not persistent cookies). No tracking cookies, analytics pixels, or third-party scripts are used. No cookie consent mechanism is required as the Software operates on local infrastructure.
7. International Transfers
No personal data is transferred internationally by the Software. If the Licensee configures an AI provider in a third country, the Licensee is responsible for ensuring adequate transfer safeguards (UK GDPR Art. 46 / EU GDPR Chapter V).
8. Changes to This Policy
We may update this policy from time to time. Changes will be reflected in the "Last updated" date above.

System Classification
PREEXEC™ is a governance tool that evaluates text inputs using deterministic scoring algorithms and optional machine learning models. It is designed as a pre-execution layer that sits between users and AI systems, providing compliance filtering and risk assessment.
PREEXEC™ does not autonomously make decisions affecting natural persons' rights. It produces advisory scores and verdicts (EXECUTE, HOLD, BLOCK) that are subject to human oversight and configuration by the deploying organisation.
Intended Purpose
- Structural analysis of text-based inputs before they enter AI systems
- Compliance filtering against configurable governance policies
- Audit trail generation for regulatory traceability
- Risk assessment across four dimensions: syntactic clarity, semantic density, affective stability, policy compliance
Human Oversight
- All governance thresholds and policies are configurable by human operators
- HOLD verdicts require human review before proceeding
- BLOCK verdicts can be overridden by authorised reviewers
- All decisions are logged in an immutable audit chain for review
Scoring Methodology
- Deterministic component: Rule-based scoring functions (always available, reproducible)
- ML-enhanced component (optional): sentence-transformers (all-MiniLM-L6-v2), toxic-bert, xlm-roberta-base, spaCy NLP
- Composite score: ClarityScore = 0.25 S_synt + 0.35 S_sem + 0.20 S_aff + 0.20 S_pol
- Scoring does not use personal data for training or model improvement
Limitations
- The Software does not understand content semantically in the way humans do
- Scoring results depend on the quality of configured policies and thresholds
- ML models may exhibit biases present in their training data
- The Software is not a substitute for professional legal, regulatory, or compliance advice
- The deploying organisation must validate and calibrate the system for their specific context
Conformity
The deploying organisation (Licensee) is responsible for conducting its own conformity assessment when deploying PREEXEC™ in contexts that may be classified as high-risk under the EU AI Act Annex III.

PREEXEC™ does NOT provide:
- Legal advice or legal opinions

- Regulatory compliance certification
- Guarantee of safety or risk elimination
The deploying organisation is solely responsible for:
- Validating governance decisions in their specific regulatory context
- Ensuring compliance with applicable laws and regulations
- Calibrating scoring thresholds for their use case
- Implementing appropriate human oversight processes
- Conducting regular system audits and reviews

Process: 1. We will acknowledge receipt within 48 hours 2. We will investigate and provide an initial assessment within 7 business days 3. We will work with you on a coordinated disclosure timeline 4. We will credit you in the security advisory (unless you prefer anonymity)
Scope: This policy covers the PREEXEC™ Software and its components. It does not cover third-party AI providers or the Licensee's infrastructure.
Please do NOT:
- Access or modify data belonging to other users
- Perform denial-of-service attacks
- Use automated scanning tools against production systems without authorisation
